These terms govern your use of Diemeco (the "Platform"), operated by Diemeco, Bhagwati Society-1, Dudhsagar Road, Shakti Industrial Zone, Rajkot, Gujarat, India, 360003 ("we", "us"). By creating an account or using the Platform you agree to them. If you do not agree, do not use the Platform.
1. What Diemeco is
Diemeco is an online marketplace that helps people who need parts or other work made ("Clients") find manufacturing workshops and professionals ("Workshops") whose machines and materials fit. We introduce the two sides and provide messaging, quotation and file-sharing tools. We are an intermediary. We are not a party to any contract between a Client and a Workshop, we do not manufacture, inspect, transport or guarantee any work, and we do not guarantee that any requirement will receive a quotation or any Workshop will find work.
2. Accounts
- You must be at least 18 and able to enter a binding contract in India, or act for a business that is.
- You sign in with your mobile number and a one-time code or, during early access, a personal access pass we send to that number on WhatsApp. You are responsible for everything done through your account and for keeping your phone secure.
- What you tell us (name, workshop details, machines, GSTIN, email) must be true and kept up to date. We may verify it, and may remove badges or suspend accounts that are inaccurate.
- One person may hold both a Client and a Workshop profile, but must not use one to deal with the other for the purpose of gaming reviews, credits or matching.
3. Clients
- You may post requirements describing what you need made. You are responsible for the accuracy of the description, drawings and files, and for having the right to share them.
- You choose per file whether Workshops may only view it (a watermarked view) or may also download it. Files shared as view-only are shown as watermarked images; that protects your designs but cannot physically prevent someone photographing a screen, so do not share what you cannot afford to have seen.
- Posting is free. You decide which Workshops you accept and whom you give the order to.
- You can see which Workshop opened or downloaded each of your files, and when.
4. Workshops, credits and payments
- Early access: Diemeco is in early access. During this period we do not take any payment. Workshops receive free credits when they join and can ask us for more, also free. Nothing you do on the Platform during early access costs money.
- Workshops use credits to unlock a Client's requirement details: one credit unlocks one public requirement. For a confidential requirement, asking for access is free, and a credit is used only if the Client approves. A requirement a Workshop's own client sends only to that Workshop costs it no credit, and so do the first two reorders from each client (see section 5).
- After launch: when Diemeco officially launches, Workshops will be able to choose a monthly or yearly plan offered in the app. Before you pay, the app shows the price, the credits you receive each month, how long unused credits carry over, and the plan's benefits. Prices exclude GST; GST at the applicable rate is added only once we are registered for GST, and the full amount, including any GST, is shown before you pay.
- A plan renews automatically only if you switch auto-renew on. We tell you at least 24 hours before each automatic payment, larger automatic payments may need your approval each time as payment rules require, and you can switch auto-renew off at any time, which stops all future payments. Payments will be processed by a payment provider named in the app, and we will not see or store your card or bank details.
- We issue a receipt for each payment, shown in your account.
- Credits are returned to your balance in the cases described in our Refund & Credit Policy. Credits have no cash value and cannot be transferred.
- Quotations you send are your own offers. Any agreement, price, delivery, quality, payment and warranty terms are solely between you and the Client.
5. Own clients, direct requirements, visiting cards and order confirmations
- Visiting card: each Workshop has a card page with its own link, which it may share. Anyone with the link can see what the card shows: the Workshop's name, city and state, logo, description, kinds of work, machines, materials, photos, ratings, completed orders, usual reply time, free capacity and trust level. It never shows a phone number, email or GSTIN. Unless the Workshop switches it off on its profile page, the card and the Workshop's name, area, kinds of work, machines and materials also appear in Diemeco's public lists of workshops by kind of work and city, and search engines such as Google may list them.
- Own clients: a Client who joins or connects through a Workshop's card link becomes that Workshop's own client, unless the Workshop already dealt with that Client through Diemeco matching. A Client may send a requirement only to their own Workshop; such a requirement is private to that Workshop until the Client opens it to all matching Workshops.
- Reorders: a Client may send a copy of a completed order, with its files, only to the Workshop that did it. The first two reorders from each Client are free for that Workshop to open; later ones use a credit.
- Subcontracting: a Workshop may post a requirement to other Workshops like a Client. If that requirement comes from its own customer, the Workshop must have that customer's permission before sharing their drawings or details, and remains responsible for them.
- Invite links: a Client may send its own invite link to a Workshop it already works with. Anyone who opens the link sees the Client's company name (or name) and city. A Workshop that joins through it becomes that Client's own workshop, as above, unless the two already dealt with each other through Diemeco matching.
- Favourites: a Client may keep favourite workshops and a Workshop may keep favourite clients. When posting a requirement, a Client may choose to alert its favourite workshops that match it, and a Workshop is alerted when a favourite client posts a requirement that matches it. Every requirement still reaches all matching Workshops at the same time. A Workshop's list of favourite clients is private to it.
- Order confirmations: after a quotation is accepted, the Client may record the agreed terms and the Workshop may confirm them. This is a record of what the two of you agreed. We are not a party to it, and we do not guarantee that either side performs or pays.
6. What you must not do
- Post anything false, misleading, unlawful, infringing, or that involves items or processes prohibited by Indian law (including weapons, and anything you have no right to have made).
- Copy, scrape or resell Platform data, or try to bypass credits, view-only protection, watermarks, rate limits or any other safeguard.
- Harass or abuse others, post fake reviews, or manipulate reviews or ratings, including through self-dealing between your own accounts.
- Use the Platform to take business off it after a Workshop has used credits to reach a Client, in a way intended to defraud the other party.
- Interfere with the Platform, probe or attack its security, or use another person's account.
You can report a requirement, message or profile from within the Platform. We may remove content and suspend or close accounts that break these terms, with or without notice where we think it necessary, and will refund unused paid credits where the Refund Policy says so.
7. Your content and our licence
You keep ownership of everything you upload or write, including designs and drawings. You give us a limited licence to store, process, display (including as watermarked images) and transmit it as needed to run the Platform for you and the people you choose to share it with. Workshops receive no rights in a Client's designs by viewing or downloading them, and must use them only to prepare a quotation or to do the order given to them. Files are deleted after a requirement is removed, subject to a short technical delay and any legal retention requirement.
8. Messages and reviews
Messages between users are stored so both sides can continue the conversation, and may be reviewed by us to investigate a report or misuse. A chat closes when its requirement is deleted, and becomes read-only 15 days after the order is completed; both sides can still read it. Reviews must be honest and about a real order. We may remove reviews that break these terms.
9. Availability and changes
We work to keep the Platform available but do not promise it will always be uninterrupted or error-free. We may change or discontinue features. We may update these terms; if a change is significant we will tell you in the Platform, and continued use after the change means you accept it.
10. Disclaimers and limits on our liability
The Platform is provided "as is". To the fullest extent the law allows, we are not liable for the quality, safety, legality, timing or payment of any work arranged through the Platform, for what other users say or do, or for indirect or consequential losses or lost profits. Our total liability to you for any claim relating to the Platform is limited to the amount you paid us in the 12 months before the claim arose. Nothing here limits liability that cannot be limited by law.
11. Ending your account
You may stop using the Platform at any time and ask us to delete your account (see the Privacy Policy). We may suspend or end accounts as set out above.
12. Governing law and disputes
These terms are governed by the laws of India. The courts at Rajkot have exclusive jurisdiction, subject to any non-waivable rights you have as a consumer. Please write to us first at support@diemeco.com so we can try to resolve the problem informally.
13. Other agreements and policies
These terms are read together with the following, which form part of them: the Workshop Agreement (for Workshops), the Client Agreement (for Clients), the Privacy Policy, the Refund & Credit Policy, the Content & Upload Policy, the Confidentiality & Intellectual Property Policy, the Dispute policy and the Grievance Policy. If there is a conflict, the more specific document for your role prevails on the subject it covers.
